Welcome. These general terms and conditions ("Terms") govern the use of our website and the services we provide. By using our services or visiting our website, you agree to these Terms.

Spruce Alley provides professional consulting in project management, interim management, advisory services for business transfers, and related activities. The full range of services is described in the "About Us" section of our website. The advice provided is of a general nature and does not constitute legal or financial advice unless expressly agreed upon.

We offer two primary compensation models depending on the nature and scope of the project:

• Retainer Fee (ongoing fee): The client pays a recurring fee per day, week, or month for our services, regardless of whether the project leads to a transaction or not. This model is suitable for projects requiring continuous consulting and expertise throughout the process.
• Success Fee (performance-based compensation) The client pays only if the project concludes successfully, such as in the case of a successful transaction. Compensation is often a percentage of the transaction's value.
In certain cases, a combination of these models may be offered upon agreement. We provide a written quotation for every assignment.

• All prices are stated excluding value-added tax (VAT) unless otherwise indicated.
• Payment is due within 30 days of the invoice date unless otherwise agreed.
• For late payments, we apply penalty interest in accordance with the Swedish Interest Act.
• Stated project timelines are indicative only and may be affected by project scope unknown at the time of the quotation. We communicate with the client when risks of material changes to project timelines arise.

We undertake to treat all information you share with us as confidential. The information will only be used to provide the agreed services. We comply with applicable data protection legislation, including GDPR.

Spruce Alley is not liable for indirect damages, loss of profit, or other economic losses that may arise from the use of our services. Our total liability is limited to the amount paid by the client for the service.

The name Spruce Alley, the logo, and all materials provided by the company are protected by intellectual property rights and belong to Spruce Alley AB. It is not permitted to use, copy, distribute, or modify this material without the company's written permission.

Any disputes arising in connection with these Terms shall primarily be resolved through negotiation between the parties. If the dispute cannot be resolved, it shall be adjudicated in a Swedish court under Swedish law.

Spruce Alley reserves the right to update or modify these Terms at any time. Changes will be announced via our website, and it is the client's responsibility to stay informed about the current terms.
